Overview
- You are not locked in. Staff hired through an Employer of Record (EOR) in South Africa can move into your own South African entity with pay, leave and length of service intact.
- The safe route is a three-way transfer agreement signed by the EOR, your entity and each employee. Resign and rehire is the risky route.
- Your entity must be payroll-ready before the transfer date, including employer registration with SARS.
- The entity is the slow, expensive part. The staff transfer is the quick part.
- Our view: headcount alone is a weak reason to leave an EOR. Run the numbers first.
Can you move employees from an EOR into your own entity?
Yes. Every employee Veridian Global employs on your behalf in South Africa can transfer to your own South African company if you later decide to set one up.
Employees keep their start date, salary, accrued leave and benefits position. Nobody resigns, and there is no gap in employment.
One question is worth asking any EOR before you sign: what happens, and what does it cost, when we want to take our people in-house?
The probationary period is three months long and involves zero exit, conversion, or transfer fees, as stated by Joubert Botha, COO of Veridian Global.
When have you actually outgrown an EOR?
You have outgrown an EOR when the annual EOR fee is higher than the full cost of running your own employer function in South Africa, or when you need a local entity for reasons unrelated to hiring, such as local revenue, local contracts or licences.
Here is the calculation, using Veridian’s published pricing:
- Rate at 20+ placements: 8% of gross salary
- Example salary: £24,000 a year, so £160 a month per employee
- 25 employees: £4,000 a month, or £48,000 a year
That £48,000 is the figure your entity has to beat every year. Against it, set payroll and HR administration, accounting and annual financial statements, a resident public officer, labour law advice, banking and director time, plus the one-off setup cost.
An entity also takes the employment risk back. Dismissals and disputes become yours to manage, as covered in What happens when a South African hire doesn’t work out?
Our view: on cost alone, the crossover rarely arrives before 30 employees, and for many teams it sits closer to 50. Test your own numbers with the EOR Cost Calculator.
Why is the entity the hard part?
Setting up and running a South African entity takes far longer and costs far more than transferring the staff. Company registration with CIPC is simple. Banking for a company with non-resident directors, appointing a resident public officer for SARS, and exchange control are where the months go.
If a UK director wants to work in the business on the ground, the business visa requires R5 million (roughly £215,000) in capital and a workforce that is at least 60% South African. Our guide to setting up a business in South Africa as a British national puts the realistic timeline for that route at 12 to 18 months.
Start the entity work long before you plan to move anyone. For the full list of routes, see Skipping The Employer Of Record: What Are Your Other Options?
The key steps to move all employees safely
- Make the entity employer-ready first. Company registered, bank account open, public officer appointed, and PAYE, UIF, SDL and COIDA registrations in place. SARS requires a business to register as an employer within 21 business days of becoming one. Do not set a transfer date until the reference numbers are issued.
- Pick one transfer date, at month end. The EOR runs the final payroll and your entity runs the next. Each employee receives two IRP5 tax certificates for that tax year, one from each employer, which is normal.
- Use a three-way transfer agreement, not resign and rehire. The EOR, your entity and each employee sign a short agreement that moves the contract across on the same or better terms, with service counted from the original start date.
- Tell employees early and plainly. Outside a going-concern business transfer, an employment contract cannot move to a new employer without the employee’s consent. People sign quickly when they hear four things: same pay, same leave, same start date, same manager.
- Reconcile balances and benefits. Agree leave balances, bonus accruals and any loans per employee in writing. Medical aid or retirement benefits that sit on the EOR’s group schemes need a new home before the transfer date.
- Hand over records lawfully, then close out. Personnel files, payroll history and disciplinary records move to your entity in line with POPIA (see Data Protection & Risk Compliance). The EOR issues final payslips, tax certificates and a final invoice.
Why is a transfer agreement safer than resign and rehire?
A transfer agreement keeps each employee’s service unbroken. Resign and rehire ends one employment and starts another, which costs you money and unsettles the team.
| Resign and rehire | Transfer agreement | |
| Length of service | Resets to zero | Runs from original start date |
| Accrued leave | Paid out in cash on your final invoice | Carried over |
| Notice and severance rights | Rebuilt from scratch | Preserved |
| How employees read it | As a risk | As a formality |
The agreement mirrors Section 197 of the Labour Relations Act, which moves employees to a new employer on the same terms, with length of service preserved, when a business transfers as a going concern. South Africa’s Labour Appeal Court has treated the ending of a service agreement as a Section 197 transfer, with contracts moving automatically to the new employer.
Whether an EOR exit qualifies depends on the facts. We put the protections in writing rather than leave them to argument.
How Veridian Global handles the handover
Veridian Global runs the transfer as a managed project, because we already hold everything the new employer needs: contracts, payroll history, leave balances and statutory records for every employee.
We prepare the transfer agreements, brief the employees, reconcile balances, run the final payroll and hand over the files. With more than 20 years in South African HR, payroll and labour law, this is routine work for our Cape Town team.
After experiencing rapid growth, one of Veridian Global’s clients scaled their software engineering team to over 40 professionals before transitioning them to their own corporate entity. The seamless handover took a single month and achieved a 100% staff retention rate.
Not every company wants to build a payroll and HR desk on day one. After the move, you can keep International Payroll & Tax Administration and HR Administration & Compliance Management with us. A PEO also becomes an option once you have a registered entity, as explained in PEO in South Africa vs EOR.
FAQs
Will employees lose their length of service?
No. Under a transfer agreement, service runs from the original start date with the EOR.
Do employees have to agree to the move?
Yes. Each employee signs the transfer agreement, which is why early, plain communication matters.
Can some employees stay on the EOR?
Yes. You can move one team into the entity and leave others with the EOR, for example while a new function is still being tested.
The bottom line
Hiring through an EOR closes no doors. If your South African team grows to the point where an entity makes sense, the people you hired can move across with service, pay and leave intact, and Veridian Global will run the handover with you.
